ASIN: 032426951X |
Book Description
Recognized and respected for both its inclusion of cutting edge material and for its strong strategic managerial approach, this is one of the most comprehensive and challenging, yet approachable and understandable legal environments texts on the market. It is equally suitable for students with substantial work experience as well as for those who are studying business for the first time. The text fully looks at the subject matter from the perspective of current and future business managers and leaders by providing an in-depth understanding of how law impacts daily management decisions and business strategies. Its integrated treatment of law and management presents a very strategic perspective, showing how the law provides ways for managers to minimize risk and create value, how to use the law to craft solutions to attain core business objectives, and how to spot legal issues before they become legal problems and effectively handle the inevitable legal disputes that arise in the course of doing business.
Customer Reviews:
not worth it.......2002-08-12
There are many better books out there that are easier to follow and comprehend if you are not a law student. Not impressive.
Indispensable for Execs, Mgrs, Invest. Pros, Mgmt Consultant.......2000-08-13
For the benefit of all the people who cannot take her course, Prof. Connie Bagley has written this book that has the same title as her course (she teaches a quarter each at the Stanford and Harvard Business Schools). It is an extremely very well thought out and well written book. Throughout the book Prof. Bagley has kept in mind the reader's background and organized and written content in a way that will be of maximum benefit to the reader.
This book is one of the best investments that any person can make. While almost everyone will benefit from this book, I feel this book will be indispensable to the following readers: 1. Any person in a Business Administration/Management role, especially Executives and Managers in large corporations, Investment Professionals and Management Consultants. 2. Professionals associated with legal matters who want a refresher and a quick reference book that covers key aspects of all the important laws. 3. Any person who wants to gain a knowledge of the legal environment, especially the environment in which business is conducted.
Unlike a law book intended for specialist lawyers, this book is readable by people who are not lawyers. After reading this book or using it as a reference one can get a good understanding of the legal process (how the entire legal system works) and several important areas of law such as Contracts, Torts, Product Liability, Intellectual Property, Labor, Environmental, Antitrust, Real Estate, Consumer protection, Securities, and International Business. The legal topics discussed are on the leading edge of business regulation. They include the World Trade Organization, employer liability for sexual harassment, compensation and liability act, and HIV in the workplace.
In keeping with the Internet age, Prof. Bagley analyzes the implications of the Internet and Information Technology to several laws (such as copyright law in the cyberspace), and also gives several Internet sources for the reader to conduct further research.
It is remarkable that the book covers each of the topics perfectly to the extent required - nothing more and nothing less. The book has around 1050 pages and the time invested in each page is worth the rewards.
As Prof. Bagley says, the purpose of the book is to provide you a good understanding of the legal system, how the laws work, removal of any fear of laws, how to avoid legal mistakes, how to protect yourself, when to take what legal action and, most importantly, make you smart enough to know when to go to your lawyer. You cannot expect to practice law after reading this book but you definitely will know when to seek legal help, and how to communicate effectively with your legal advisors.
Prof. Bagley has also written another book "The Entrepreneur's Guide to Business Law". If only every entrepreneur read this book before starting out, the number of failures caused by legal blunders will be close to zero.
Both her books are extremely very well thought out and well written. I was fortunate to get into Prof. Connie Bagley's high demand "Managers and the Legal Environment" course at Stanford Graduate School of Business. The course is an absolute gem of a course. While this course is a high demand course, her other course "Legal Challenges in Entrepreneurship" is usually multiply over subscribed with around 150 students wanting to get into a class of 66! Prof. Bagley is a wonderful teacher and an amazing person. Her class was a wonderful learning experience for me and I thank her for that. I'm sure that after reading the book you too will thank her for having written this book.
Great overview of main legal issues for managers.......1998-12-02
This book is amongst others used at the Stanford MBA course as an introduction to legal issues that may arise for managers in a variety of business situations. It is comprehensive and is well illustrated with landmark case studies and relevant hypotheticals. Constance Bagley takes out most of the cumbersome legalistic language and makes the complexities of US corporate and civil law understandable.

Customer Reviews:
Avoid this book like the plague!.......2007-01-30
I am currently taking a class that uses this textbook and I am ready to throw this thing into a woodchipper.
It might be okay if each chapter wasn't constantly being interrupted by the case files, but, no, the readability of this book is completely shot because multi-page case files cut right into a chapter section, making it nearly impossible to keep track of what section I'm reading. I hate, hate, HATE this book because of those case files. The case files should have been put at the end of the chapter material!!!
Oh, and a little color would be nice. A book couldn't be more boring than this one.
Its one redeeming value is that it will save you a fortune in prescription sleep aids. Start reading it and you'll be asleep before your head hits the desk.
Globalization and need to know International Law.......2001-08-25
This book is essentially important for every business person dealing in international arena and every student seeking careers in multinational businesses. The author covers almost all aspects of governing laws related to international trade. My personal statement would be that this book is not to just read but to use it in everyday's practices as a desk reference.
Best help for international business law practitioners.......2001-08-08
This is the best book I've ever read about international business law. It is a very good guide to all issues concerning international law since the choice of a applicable law for a contract passing through contract contents, labor and taxes international legislation, ethics and finishing with the very new cyber law. This is a book to be read for specialists in both international law and international business, but also for practitioners of international trade. We have adodpted this book in our course of International Business Law at Universidad del Istmo in Guatemala. The best book I have consulted in the field.

Book Description
"[Interactive Corporate Compliance] is a creative contribution to the generally moribund business regulation literature. It makes compelling reading." American Business Journal, Winter 1990 This book describes a new approach to business-government interactions while giving business and government officials a new set of practical proposals for change. Throughout U.S. history, the relationship between business and government has fluctuated constantly under the influence of changing political conditions, rather than in response to a conscious design. The proper relationship between business and government in the United States remains an unsettled issue. However, the time has come, Sigler and Murphy assert, to reconsider some old assumptions with regard to this relationship and to examine some new alternatives to the benefit of both forces. Written by a respected political scientist and an attorney experienced in corporate compliance law, this book represents a review of the history of government regulation of business, showing where it has succeeded and where it has failed. Coining the phrase "interactive compliance," the authors provide a new framework for corporate compliance--one that would be nonadversarial and cooperative in nature. Their book offers a novel, yet practical, approach by which business can comply with government regulation on the one hand, while government takes a nonadversarial stance in response to business on the other.

The Economics of Regulation: Principles and Institutions
ASIN: 026222075X |
Book Description
This new edition of the leading text on business and government focuses on the insights economic reasoning can provide in analyzing regulatory and antitrust issues. Departing from the traditional emphasis on institutions, Economics of Regulation and Antitrust asks how economic theory and empirical analyses can illuminate the character of market operation and the role for government action and brings new developments in theory and empirical methodology to bear on these questions.
The fourth edition has been substantially revised and updated throughout, with new material added and extended discussion of many topics. Part I, on antitrust, has been given a major revision to reflect advances in economic theory and recent antitrust cases, including the case against Microsoft and the Supreme Court's Kodak decision. Part II, on economic regulation, updates its treatment of the restructuring and deregulation of the telecommunications and electric power industries, and includes an analysis of what went wrong in the California energy market in 2000 and 2001. Part III, on social regulation, now includes increased discussion of risk-risk analysis and extensive changes to its discussion of environmental regulation. The many case studies included provide students not only pertinent insights for today but also the economic tools to analyze the implications of regulations and antitrust policies in the future.
The book is suitable for use in a wide range of courses in business, law, and public policy, for undergraduates as well at the graduate level. The structure of the book allows instructors to combine the chapters in various ways according to their needs. Presentation of more advanced material is self-contained. Each chapter concludes with questions and problems.
Customer Reviews:
Regulators should read it.......2007-06-26
Economics of Regulation and Antitrust offers a broad conclusion on Regulation and Antitrust policies. The issues are well described and easily to understand. Best suited for graduate students in Economics.
Horrible.......2007-06-04
This read like a math book with a few interesting facts. I was dumbfouned by reading this book. I would get to class and my professor would explain things using the same examples from the book and I would understand. The book is impossible to follow. It will give you a million variables and different numbers to think about, and then later expect you to remember something it briefly mentioned two paragraphs ago. If you can learn from reading a math book and no class room instruction; I not only would like to meet you but hand you this book. You would probably love it and understand antitrustlaw and regulation as well as the douches at MIT that wrote the thing.
Heavy life saver!.......2005-02-13
Seldom books on economic theory, particularly on regulation and antitrust are as clearly and professionally written as this one. A student of economics and Ph.D. hopeful, I keep this book within my hand reach at all times.
Economics of Regulation and Antitrust cites numerous antitrust and regulatory cases from American and European history and is thought provoking rather than doctrinal. The graphs are exceptionally easy to read and understand. Particularly well written are chapters on regulation of American transportation.
I continue to use this book for my research and highly recommend it to anybody who is seriously interested in understanding the logic behind regulation acts, game theory, and franchise bidding.
This Book Stinks.......2004-04-21
If you are looking for a nonconsistant book that jumps around and does not follow through on its explanation of certain topics than this is the book for you!
Review of Economics of regulation and antitrust.......2000-05-15
This work provides an excellent overview of the field of regulation from an economic point of view. The primary focus is economic rather than institutional -- as a result it is more appropriate for economists than for legal scholars. Although the book does not require extensive training in economics, it does assume some formal knowledge of basic economic concepts. Since its focus is economic, little time is spent discussing legal cases surrounding many of the regulations compared with, for example, Law, Business, and Society, by McAdams, et. al.
