This is an excellent, excellent book! I am law school student struggling my way through partnership tax (with no desire to practice tax law). I have purchased everything under the sun that I thought might give me a better understanding of the subject. This is the first book that I have come accross that really helped. It gives you the "why?" behind the mechanics. I cannot imagine why my professor recommended the Nutshell book as opposed to this book. I cannot recommend it enough!

UPDATE - I got an A in the class and I am positive it was due to this book.

I work for the Department of Treasury for one of their tax audting departments. :) This book was helpful in my lLow Thru training and working my cases. The issues are easy to understand and there are great examples! A great tool to have with you when reviewing a flow thru tax case!

I took a PS Tax law class and we were assigned a rather lengthy treatise as our textbook, but after a few weeks, it was clear that the treatise would not be helpful for someone taking a first tax course. The Logic of Subchapter K, however, covered almost every major topic the class addressed and did so in 5 to 10 pages of well-written material. I would have been in trouble without this book!

I was forced to read this book for the written portion of my Sergeant promotional exam. I have a BA in Criminal Justice and a BA in Psychology. This is the worst textbook I have ever read. The authors have so little information to impart, that they quote themselves from other chapters! After sifting through the c_ _ p in this book, I now have a clear understanding of what community policing actually is: People are too stupid to fix their own problems and are unable to rely on their elected leaders, so the police must pick up the slack. In this book, you could just as easily substitute Mail Woman, Garbage Man, or Cable TV Repairman for Police Man. As you read, you find out that you have been a terrible police officer. Further, the only way to fix yourself is to read this book and internalize its junk. Simply put, community policing is a way for your department to get federal funding. Next time someone asks you to fix a social problem, tell them that their elected local representative, home owner's association, town council, or governer is responsible for those concerns, not the police. Though, you will be glad to lock up their neighbor for kicking his dog.

This book is well laid out, gives you short cuts to critical information and does not 'preach'. It evaluates any possible ambiguities and basically holds your hand through the whole process. It has references and resources for every state and covers all possible variations of ownership and management. It was easy for me to find the critical steps relevant to my situation. It is a 'general' reference so you do have to figure what you need, but that is easily achieved with the way the book is formatted.
I started a Nevada based company using this book and found it well worth the money.
Start an LLC, make loads of money and live a good life, this book will get you started.

In our case, this book was more of a help with planning than providing the actual legal forms necessary to legally form an LLC. Here's why, in our state, if you have internet access and a printer, it's very simple. All you need to do is fill out one on-line form provided by the state, print it, write a check for the fee, mail it, and wait.

What a book like this does is give you confidence that it is really just that simple. There are plenty of services on the internet, including services advertised on the website of the publisher, NoLo, that want to charge quite a bit more to do the work for you - or I'm sure you can find a local attorney who will also do the work for you, probably for an even higher fee. Maybe that's what you need, but for our small business, we found our startup money better spent on marketing and sales promotion than legal fees.

The one thing that was missing for me in this book, thus only 4 stars, was any discussion on LLC location. We needed additional research to satisfy our questions here.

Finally, we were able to use one of the legal forms on the CD as a template for our LLC operating agreement between members. That was handy and important, though in our state not a required document to form an LLC.

5 out of 5 stars A Lot of Information about this new Business Model.......2006-03-03

A limited liability company is a relatively recent addition to the traditional forms of companies. It has some fo the advantages of a corporation, and the tax advantages of a partnership, sole proprietorship or corporation depending on the desires of the owners. It is not suitable for all organizations, but if you are considering one, here is the place to start.

If you go to an attorney to get him to set up an limited liability corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard LLC form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.

Anthony Mancuso is a corporations attorney licensed to practice law in California. He decided to take his standard corporate form and put it out in the form of a book. In the book he will ask you a bunch of questions, taking the time to point out the alternatives (that a lawyer probably doesn't do unless asked. You then take his standard corporation form (supplied on a CD) and fill in the answers. Files these with the appropriate offices and you have a corporation for only the filing fees the state charges.

Well, maybe it's not quite that easy. The LLC is a new form of business. I'd suggest that you read and consider the forms contained here, but then I'd have an attorney in your state review them, just to be sure.

This is a good book on the subject, with thorough coverage of the topic and prose aimed at the nonlawyer. In my situation a corporation was a better choice, and the book helped me come to that conclusion.

Having read NOTHING in business taxation prior to the final, I used this book to cram over the course of four days. Amazingly, I received a B, which was well above the median for the course. A nice feature of this book is the casebook table that shows which parts of the outline cover which pages in each of several leading casebooks. This made my unorganized cramming sessions much more manageable. My casebook reading was covered in 89 pages with this outline. Awesome.

If it wasn't for this outline, business tax would have killed my GPA and any chances for high honors. More significantly, I actually learned a lot from those four days and have applied the principles learned at my summer job. Good luck!

"The yellow book" cruised me through Partnership Tax and Corporate Tax by spoon-feeding me all relevant laws/doctrines in a clear, concise way. This is an amazing book, which was recommended to me by an LLM Tax graduate (now an attorney for the IRS) who told me that everyone in her LLM program used this book. Get the yellow book, trash your other tax textbooks-- it will make you a star.

This book does an excellent job at laying out the default rules and explaining them in an organized manner. What is even better about the book is its use of charts to demonstrate the differences between the various default statutes. This book definitely helped me earn a goo grade in the class. I highly recommend it. For anyone who has taken a course with Professor Kleinberger, this book is written much differently than his lecturing style, and it will help make sense of what is covered in class.

This book was nice and simple. A good summary of what you need to know. The section on agency was great. I think he got a little carried away in the partnerships section when he compared RUPA and UPA. I would definitely recommend this book to anyone who wants a comprehensive summary of the law of agency, partnerships, and unincorporated entities.

    This book contained a few moderately useful lists, but for the most part contained little of particular value. It is too superficial to be of much use to a large firm merger, and bears little relevancy to the needs of a small firm merger. The most useful part of the book is not the book itself, but the accompanying forms disk, which can help provide a little structure to your thinking when evaluating and planning a law firm merger.

    Too short and over priced. I bought this book in March 2005 for the list price, now that the price is reduced, it might be a better deal. Still expensive for a paperback of only 208 pages, almost half checklists and exhibits. It is authored by Hildebrandt International, which provides consulting advice to merging law firms. I felt I was reading a promotional brochure for the consulting service. There is some useful insight but at a common-sense level, not so much that is penetrating insight. Obscure topic, so if you want information you might have limited choices, hence my purchase. Another book (not purchased by this reviewer) Law Firm Mergers : Taking a Strategic Approach is also by Hildebrandt; why do they have two books on the same topic?

      I have a small space for a gallery. This book taught me that running the gallery myself was more involved than I had thought. I will leave the operation itself to a lessee. Essential first step for people who think it would be simple fun to open an art gallery.

      Whether you are a gallery owner or artist, I suggest finding a book that goes much more in depth. The Artist-Gallery relationship is much more complex and has many nuances not covered. The artist once again gets the short end of the "stick."

      This book is regarded by many as the "bible" for artists who consign work to galleries. All the pitfalls and potential problems you can imagine are cited here, along with practical, simple advice for making the most of an artist's relationship with a gallery.

      Tad Crawford, who has written extensively on the legal and other business aspects of artist practice, has scored again with this great work.

      I own a small gallery because I love art and artists, but I was not prepared for the variety of business and legal headaches that this field could produce. During yet another frantic call to my attorney, she recommended this book to me and life has been considerably calmer ever since.

      Let's face it: art is a business and if you are an artist or a gallery owner, you can't afford to be without this information. I use this book to maintain records; I check paperwork against it before visiting my accountant; I use its sample forms and agreements every time I get the place ready for a new exhibit; and I follow this book's advice with every sale and display we make. This book should be required reading for everyone who has anything to do with art consignment...
