Jones provide a thoughtful expansion upon their value-based business system based on the Toyota model. Along the way they update their action plan in light of new research and the increasing globalization of manufacturing, and they revisit some of their key case studies (most of which still derive, however, from the automotive, aerospace, and other manufacturing industries).
The core of the lean model remains the same in the new edition. All businesses must define the "value" that they produce as the product that best suits customer needs. The leaders must then identify and clarify the "value stream," the nexus of actions to bring the product through problems solving, information management, and physical transformation tasks. Next, "lean enterprise" lines up suppliers with this value stream. "Flow" traces the product across departments. "Pull" then activates the flow as the business re-orients towards the pull of the customer's needs. Finally, with the company reengineered towards its core value in a flow process, the business re-orients towards "perfection," rooting out all the remaining muda (Japanese for "waste") in the system.
Despite the authors' claims to "actionable principles for creating lasting value in any business during any business conditions," the lean model is not demonstrated with broad applications in the service or retail industries. Instead of constantly reinventing business models, lean thinkers go back to basics by asking what the customer really perceives as value. (It's often not at all what existing organizations and assets would suggest.) The next step is to line up value-creating activities for a specific product along a value stream while eliminating activities (usually the majority) that don't add value. Finally, as flow and pull are implemented, the lean thinker speeds up the cycle of improvement in pursuit of perfection. But most managers need guidance on how to make the lean leap in their firm. Part II provides a step-by-step action plan, based on in-depth studies of more than fifty lean companies in a wide range of industries across the world.

I found this book to be interesting, but I hard trouble finishing it because the writing was so boring. Despite the dullness the book did get me thinking of product in a different way.

Lean Thinking- A very well written account of a long study of the theory of customer driven value thinking. The elimination of waste in accomplishing customer driven trade is the main goal of this theory. The book has been tuned over a series of revisions, so it is well polished. While I am no expert on the topic, I can at least attest to the fact that the volume is well written and referenced. Their views are spread over a period of many years, giving them the benefit of tracking case study performance over the long term. Companies both large and small have been studied and tracked to determine the benefits of these theories.

A most readable book on an important subject of productivity. The comment on outsourcing is insightful and the emphasis on human element is so crucial. Productivity is not all about bigger and better machines but about management and employee been willing to take risks to think out of a box. Mr. Womack has made a significant contribution to the on-going dicussion of productivity in a globalized world.

Excellent Book with Detailed Lean Conversion Techniques .......2007-02-01
This book provides many case studies of companies outside of the auto industry that converted to lean production. It details the personnel changes they had to make, changes in factory layout, differences in the supply chain and much more. Where "The Machine that Changed the World" was a primer to lean production, "Lean Thinking" is more of a how-to book. Together, they make a great pair and provide a fairly in-depth view of the subject. As in, "The Machine that Changed the World", there is plenty of hard data to back up the claims that these companies improved after switching to lean thinking.
I am a college student majoring in mechanical engineering and read this book and "The Machine that Changed the World" to get a broad understanding of lean production. The two books did just that and even gave me many ideas on how to convert a student organization I am involved with (SAE) to more of a lean organization. As much as possible anyway.

This book is a P.O.S. The explanations are poor and confusing, I frequently find myself referring to other works for clarity, even on subjects I know well. Profs use this piece of trash because they are too lazy to make the migration to any of the many other better corporate finance books that are now available. Brigham checked out of the authorship business many years ago. This is now simply mechanical production from the Thomson machine.

I wasn't too impressed with this text. I found that many of the chapters were incredibly verbose, and seemed to confuse me even more in some instances. Perhaps one of the problems (obviously not Brigham's fault) was that my prof "wizzed" through some of these chapters, so reading the "wordy, never-ending" chapters was overwhelming. Further, I think that some concepts could have been more simplified, when instead Brigham seemed to ramble and "lost" me.
In short, I think some "academics" (profs, grad students, etc) might be impressed with the depth with which Brigham wrote. However, not all of the students are on the same level, and this must be taken into consideration when the author revises the text. We are using the text as a guide for learning, not as a means to evaluate the author's aptitude in the field of finance...

The world is full of experts at what is wrong with the things that we do. Dr. Carver has a rock-solid, well thought out suggestion concerning how to do it right. One reviewer complained that Dr. Carver's suggestions are not realistic. Right is not often realistic, but right is always right. It's far better to start with an ideal and compromise from that point than to capitulate from the outset. Boards that Make a Difference is well worth reading.
Idealistic.......1999-06-27
The carver style of governance is a tad idealistic and perhaps overly optimistic. I have read everything Dr Carver has written concerning this field and enjoy this material at an academic level. But when it comes to operationalizing this model in boardrooms I've seen it fail time and time again. Not to say that the model is flawed because in fact the model is normative and conceptually complete. However it doesn't capture that element of reality from which, in my experience, the model requires - practicality and real-world application. Dr Carver's notion that Boards can do without Finance and Audit Committees is very naive. Most consultants from the chartered accountant genre are saying the complete opposite. In fact most government policy initiatives are moving toward more control of financial affairs of organizations for boards from charts of accounts to fiscal policy. So I don't think the elimination of Finance and Audit Committees is realistic nor is it a terribly bright suggestion. I guess my only crticism is that the carver model is far to idealistic and philosophical for a practical application in the form Dr Carver suggests. Sorry but a hybrid model of traditional Board governance and the carver model may work given the commitment required from directors to follow-though on everything suggested in that system of governance,

After 5 years on a local Board of Education I finally found a book that describes everything I know is wrong with board management practices in schools and nonprofit organizations. But that is the easy part. Carver offers sound alternatives to current practices that put the responsibility and the capability for strategic leadership right where it belongs--on the board.
I winced as I read Carver's description of reactive boards trapped in the "approval syndrome" in which boards rely on staff to bring issues and recommendations to them for approval. This pervasive practice not only takes board members out of the driver's seat, but it confuses the lines of accountability between the board and the CEO for the organization.
Carver offers a framework for changing all that by forcing the board to rethink all of its policy with an eye toward board-determined policies that operate at the highest level possible. In Carver's approach only four types of policies need to be set by the board: 1) "Ends" policies (board expectations), 2) Executive Limitations (the "don'ts" for the organization), 3) Board process policies and 4) Board-CEO relationship policies. *Everything* you need to be involved in can be fit into one of these four categories.
Want to learn how to stop working at the staff level and how to help your organization find a true sense of direction? Carver's book offers practical and straightforward ways of getting there.
Accessible, Codified Common Sense.......1999-01-24
Mr. Carver presents a very readable way of looking at how governing boards should work. His theories are logical and his arguments pursuasive. He offers board members an intellectual framework to consider how their organizations are running. The book is prescriptive, but not preachy. I was very surprised to find it sensible after hearing so much hype from "converts" to his method.

This is a great book!! He tracks the langauges of the required statutes and it has everything you need!! It is "The Bible" of how to books for starting a Non-profit. The only draw back is that it does not give a lot of advice for starting a church. However, that does not diminish its potency.

This book's title says it all. It gives you the nuts and bolts of how to form a nonprofit corporation. The CD includes many useful documents including the federal tax forms and sample bylaws. If you are planning to found a nonprofit, this step-by-step guide is just what you need.

I highly recommend this book to the business owner that wants a vision for his company. It doesn't have to be all about profits. They will come when you take care and build a relationship with your employees, customers, suppliers, and your community.
Decent Examination of the Small-Scale, but Lacks Figures & Facts.......2007-09-09
After reading Jim Collin's seminal work Good to Great, I became enamored with the idea of "scope" as it pertains to business success. I recalled hearing about Gore, the company, and how they do not allow any one of their offices to grow beyond 250 people - setting 250 as the magic number, above which intimacy, norms of reciprocity and mutual assistance are not possible. I started to crave a book that might address those very ideas from a Collins-esque standpoint. After some search, I found a book that Jim Collins had reviewed: "This well-written book should inspire thousands of entrepreneurs to reject a mantra of growth for growth's sake in favor of a passionate dedication to becoming the absolute best. Bo Burlingham reminds us of a vital truth: big does not equal great, and great does not equal big."
That was enough of an endorsement for me, and I dove right into reading. I came away somewhat disappointed by the less-than-rigorous methodology, but also energized by the ideas presented. Burlingham does not use the same exactitude in selecting the companies he features (largely because the financial reports are not public for the private groups he chose to focus on). Thus, it is difficult to appreciate his findings in the same way as I can appreciate Collins'.
However, Burlingham writes like the capable and clever journalist that he is (editor at Inc. magazine) and the pages turn easily. His chapters are divided as logically as possible, given the lack of concrete data. Much of what he presents is based off feeling, interviews, observation, and contemplative conclusions. He does not hesitate to label the success of these businesses as "mysterious" - following from "mojo" or (my preference) "spiritual terroir."
Read this book if you want to read some incredibly articulate leaders talking about their perspective on business. It is one of the best compilations of leader interviews I have read. The book groups the commentary together when appropriate, or allows one leader to dictate the chapter content entirely. Either way, Burlingham does a marvelous job of letting these men and women speak for themselves and their hard-won success. It is refreshing. The owner and CEO of Anchor Brewing, Fritz Maytag, is downright moving in his eloquence. Jay Goltz, head of Artists' Frame Service is brazenly pragmatic, but uses stories to speak to the underlying support of this leadership approach (managing is "also about learning how not to demotivate [your people]").
Do not read this book if you are looking for applicable solutions or step-by-step recommendations.

If you are looking for a "how to be great" book, this is probably not the book for you. If you looking for a book to provoke some deep thought about the relationship between size and greatness, then I highly recommend this book.

Definitely Worth Reading.......2007-03-24
My organization is in the process of a major change and reorganization. I found this book to be right on target in identifying the challenges and hurdles that we faced as well as providing some effective solutions to ensure that we do not make the same mistakes that others before us have made. I believe this is an excellent book and a must read for anyone within the organization, not just CEOs.
good for frogs.......2006-07-11
Feldman and Spratt advise lots of CEOs of large corporations as part of their work for PricewaterhouseCoopers (a mergerized mouthful if there ever was one), and those consulting habits show. The book is anecdotal and clever without being practical or useful, even if you're actually contemplating a merger. You will, however, learn the riddle of the five frogs on a log, which in the interest of saving time, we offer here: Five frogs are sitting on a log. Four decide to jump off. How many are left? Five. Because there's a difference between deciding and doing. "Execution," the authors tell us, "is always more difficult than it seems."
Here's the lesson: Smart advice is timeless. If you do want a quick take on making effective decisions, then consider the very short chapter "The Effective Decision" in Peter Drucker's Managing the Non-profit Corporation (HarperCollins, 1990). Drucker writes sharply about the evils of reaching consensus too quickly, the dangers of not doing your homework, and the fact that decision making always involves risk taking. He also observes that "far too many decisions remain pious intentions." Even more memorable than the frog story.

This book is an excellent view of the M&A process from a very different angle. Many books cover the mechanics of the process, but this one looks at the outcomes for human beings - our most important assets. I would recommend it highly.

Having been on the receiving end of several poorly-executed acquisitions, I much appreciated the authors' vivid descriptions of merger complexity - and their straightforward advice on how to avoid it. Definitely worth reading.

My company has been making acquisitions for over twenty years and I think we've read all the merger books in print. "Five Frogs" is the winner when it comes to candid, practical and intuitive advice on how to accelerate through the post-deal transition without destroying shareholder value. Its a fast and easy read that makes its points clearly and with great examples that force you to think intelligently about decisions that must be made and executed quickly. The two chapters on internal and external communications planning and execution alone are worth the price. Our results from following the authors'advice on post-deal priority setting were both powerful and surprisingly painless. We're about to go through the biggest merger in our history and every member of every transition team in both companies now has a copy of "Five Frogs." It's become our merger bible. Also, if you get a chance to hear Feldman speak on the subject, don't miss it. He's an articulate and entertaining speaker who's seen it all. Very motivating.

Carver describes how to avoid common Board mistakes and actually create the Board in a leadership role. It seems so obvious now that I read it... but I had to read it to realize what the problems were with my previous and current Board experience.
This book is tailored to answer questions about every size of Board, so read it! It's a bit dense in its language, but useful to all of us.
John Carver.......2007-07-15
I am currently a newly appointed Board chairperson for a non-profit Christian school and we have been using John Carver's Policy Governance model for the last year. While we still have a long way to go to incorporate it completely into the fabric of our board processes, we have made great strides toward it in only a year. This book is excellent in helping us get there. I have also read several of John Carver's guides and although they are somewhat small for the money you have to pay for them, they also contain very good information. We hope to study these principles as part of our on-going board training during this board fiscal year.

Not the most engrossing read, but for anyone serving on a board, it is a great resource.

Only a few years ago, it seemed that nearly every company was going public with an IPO. Now many quality companies are locked out of the IPO market, but companies have other ways to go public. One of the most popular paths is a "reverse merger." In this transaction, your private company merges into a public company (often a "shell") and controls it, giving you a public stock with which to raise capital. This may sound shady, but it's not: many well-known companies have gone public through reverse mergers, including Warren Buffett's Berkshire Hathaway, Turner Broadcasting System, Occidental Petroleum and Blockbuster Entertainment. Experienced Wall Street securities attorney David N. Feldman takes you through the reverse merger process in detail. The book is wonderfully clear and thorough, and should become the definitive textbook on reverse mergers. It is, however, a dry read. A profusion of technical rules and especially acronyms (SPAC, SOX, Form 10-B, Rule 419, Regulation A, SB-2, PIPE) make the book slightly MEGO (My Eyes Glaze Over) for the uninitiated - but then, they are not its target audience. Well, maybe it didn't exactly change my life, but it gave my law firm a new direction. My firm specializes in strategic transactions - initial public offerings, private placements, mergers & acquisitions - but we had steered clear of reverse mergers because of the uncertainty and confusion. Feldman and Dresner cleared up that confusion we now offer reverse mergers as part of our services.
This book showed the mechanics of structuring a reverse merger, how to create shell corporations and guidelines on financing. It covers due diligence, securities filings and and plenty of mistakes to avoid.

This is a most informative book and tells you how to do it. The concept is mysterious at first but is clearly explained in this book. It is a must for anyone considering taking his business public. I highly recomend it.

If you want to know the right way to organize and structure Reverse Mergers, this is the book to go for. It's an excellent up to date reference as well as a guidebook of do's, don'ts and "tricks of the trade"; even better, it's written so both newbies and professionals can benefit from it.
At the very minimum, Reverse Mergers will pay for itself many times over in saved legal fees; more importantly it will almost certainly save you a lot of time and may well save you from some very expensive mistakes. If you intend to do anything in this area, Mr. Feldman's book is undoubtedly the best $50 investment you can make.

This is the secong not-for-profit organization that I have directed. I have used this guide and the subsequent Carver guides to help with organizing and direction setting. Volunteer board members always respond well to the material. It is easy to understand yet the Carver model is very comprehensive. I would recommend this to any organization that is engaged in charitable work.
Excellent overview of Carver's Policy Governance theory ........1998-10-30
This first in a 12-part series of general guides on Policy Governance is a great introduction to author John Carver's new approach to nonprofit board development. Basically, this approach clearly separates the roles of board and staff as they go about their separate but related jobs of organizational governance and management. Policy Governance clarifies these roles through policy development and permits the board---governing as a body---to control the management and direction of the organization in a global policy approach. This guide is a good start in grasping the concepts of the approach.
