Useful and Easy to Understand.......2007-10-07
I am currently in the process of creating my own LLC at the time writing this review. The book is very helpful to understand the process and the things I will have to worry about from a legal and also tax perspective. I hired a lawyer for the company creation before I bought the book and have now the feeling that I could be doing it without paying a lawyer. However, the book made me realize that there is a lot of paperwork involved in the process and the lawyer will do all that work for me, which saves me a lot of time.
I am currently very busy preparing everything for the daily business operation to come so I do not regret my decision of using a lawyer. If time is not too much of a problem, but saving the cost for a good corporate lawyer is, this book will be able to help you to get the process done by yourself.
For people like me, who use a lawyer is the book still helpful, because there are a lot of things to consider and know about, after your LLC was created. It will serve me well in the years to come. I am sure about that.
Quick easy read, Great Information!.......2007-08-05
I read this whole book on a flight from Miami to Seattle. I had just started an LLC through a Lawyer and wanted to get an idea of how to put together the Operating Agreement. This book had a great Operating Agreement example in the back. It also had simple examples for each scenario that helped me understand the best type of LLC set-up for my business. Nolo's Quick LLC covered everything I needed to know in an easy format to read and reference. After reading, I felt I was able to discuss my ideas intelligently with my lawyer and ask him questions I would have never thought of before.

Informative, Provides a Framework, A Bit Conservative.......2007-02-12
Having just established my own Limited Liability Company (LLC), I wanted a book that would define what a LLC is in the framework of other business models, including tax and legal implications. I wanted to ensure that a LLC was the best fit for me. That is exactly what this book did, and it did it well.
If you are thinking of starting your own business an a LLC, but are not sure of which business model to use (Sole Propertiorship, LLC, Parternship, S-Corp, C-Corp), this book will help inform you of the pros and cons of LLCs, and how they fit into the overall legal and tax structure.
The only reason I rated this book at 4 stars instead of 5 stars, is that it scared me a bit in regards to the legal and tax requirements, without providing enough detail to give me a grasp on why the requirements were in effect. Having also been in contact with a certified tax expert and accountant while I was reading this book, I learned that this book errs on the side of being very conservative, or even a bit scary, in regards to legal and tax requirements. So I would advise anyone who gets this book to also balance it out by reading a more aggressive book about saving money on taxes and operating an LLC legally.
After reading this book, I also read "Your Limited Liability Company, An Operating Manual" by the same author. That book provides in depth detail on the day-to-day running of an LLC. It helped me tremendously. However, this book is also conservative when it comes to saving money on taxes.
Overall, both books are great reads.
Very Helpful Book, Helped Me Decide That An LLC Is Right For ME!.......2006-12-04
This book was not a disappointment by any means. I wanted to learn if forming an LLC was right for me and by the end of reading the book, I knew it was. Nolo's book was surprisingly easy to read and understand. Although the writer is a lawyer, he writes in every day speak and makes the concepts as easy to understand as possible. The book is also more entertaining then one might think. The only thing I would have liked to see as part of this book is a step by step list of who to contact to form the LLC including any forms or at least a link to forms you would need to complete the task. Overall, if you want to learn about LLC's and decide if the business form is right for you, then this is the right book to choose.

This book is well laid out, gives you short cuts to critical information and does not 'preach'. It evaluates any possible ambiguities and basically holds your hand through the whole process. It has references and resources for every state and covers all possible variations of ownership and management. It was easy for me to find the critical steps relevant to my situation. It is a 'general' reference so you do have to figure what you need, but that is easily achieved with the way the book is formatted.
I started a Nevada based company using this book and found it well worth the money.
Start an LLC, make loads of money and live a good life, this book will get you started.
Clear and concise.......2007-02-13
In our case, this book was more of a help with planning than providing the actual legal forms necessary to legally form an LLC. Here's why, in our state, if you have internet access and a printer, it's very simple. All you need to do is fill out one on-line form provided by the state, print it, write a check for the fee, mail it, and wait.
What a book like this does is give you confidence that it is really just that simple. There are plenty of services on the internet, including services advertised on the website of the publisher, NoLo, that want to charge quite a bit more to do the work for you - or I'm sure you can find a local attorney who will also do the work for you, probably for an even higher fee. Maybe that's what you need, but for our small business, we found our startup money better spent on marketing and sales promotion than legal fees.
The one thing that was missing for me in this book, thus only 4 stars, was any discussion on LLC location. We needed additional research to satisfy our questions here.
Finally, we were able to use one of the legal forms on the CD as a template for our LLC operating agreement between members. That was handy and important, though in our state not a required document to form an LLC.
A Lot of Information about this new Business Model.......2006-03-03
A limited liability company is a relatively recent addition to the traditional forms of companies. It has some fo the advantages of a corporation, and the tax advantages of a partnership, sole proprietorship or corporation depending on the desires of the owners. It is not suitable for all organizations, but if you are considering one, here is the place to start.
If you go to an attorney to get him to set up an limited liability corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard LLC form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.
Anthony Mancuso is a corporations attorney licensed to practice law in California. He decided to take his standard corporate form and put it out in the form of a book. In the book he will ask you a bunch of questions, taking the time to point out the alternatives (that a lawyer probably doesn't do unless asked. You then take his standard corporation form (supplied on a CD) and fill in the answers. Files these with the appropriate offices and you have a corporation for only the filing fees the state charges.
Well, maybe it's not quite that easy. The LLC is a new form of business. I'd suggest that you read and consider the forms contained here, but then I'd have an attorney in your state review them, just to be sure.

This is a good book on the subject, with thorough coverage of the topic and prose aimed at the nonlawyer. In my situation a corporation was a better choice, and the book helped me come to that conclusion.

This book is very complete and easy to understand. I needed a book that shows me how run my LLC with minimal effort and how to avoid legal trouble, and this book did just that. After you have formed your company as an LLC this book is a must. It has all the forms that you will ever need to create a paper trail for your LLC company, and how to do it without having an official meeting every time you want to make a major company decision. This book provided me with the essential information an LLC owner needs to avoid trouble with the IRS and the courts. This book contains a lot of practicle information, useful forms and many real life examples. It covers meeting minutes preparation, record keeping and the updated Federal 2003 Tax Act. This is a must book for any LLC owner!
Can't imagine many people need this book........2003-11-21
Generally I have to say I was a little disappointed with this book. To be fair it lives up to its claims that it will basically help you run LLC meetings and provides forms for most basic LLC functions EXCEPT creating one. It provides no business advice and no tax advice to help with serious beginning operation issues. I was hoping for a book that would offer advice and successful strategies for managing money in the LLC and discuss tax strategies and so on. Advice, that would help me operate an LLC with the legal documents to back up the advice. That is not what this book contains.
This book will not teach you how to begin running your own LLC business. But if you are an LLC member with two other members in your LLC it will tell you to use form 7 to formally announce the meetings and form 8 to guarantee that the announcement has been received and 9 to proactively declare that the meeting contents will be....
This book will not help you make tough decisions but it will tell you what to do if you have already made a decision. If that's really all that you want you have found your book.
What strikes me as odd is that the two most important documents as stated at the start of the book, the operating agreement and articles of organization, are not included in this book. For that topic they have written a whole SEPARATE BOOK for you to buy and they kindly point you in that direction.
My general feeling is that this 50-dollar book is too pricey for what it offers. They should drop the tear-out pages, that no one will ever use since the forms are on the CD, and the one or two pages for each states specific LLC rules, which could easily also be on the CD since you most likely only need the paragraph that pertains to your state, that make up HALF the content of the book and lower the price to 20.

The author writes a nice overview of the entrepreneurial process. It's basically for novices but it does a good job for this audience. The only problem I have with this book is that it is too basic and is therefore non-unique because it is so low-level. Regardless, I must say that for the right audience, it does a fine job over giving the big picture.
If you are advanced or aspire to become advanced, I would recommend "The Startup Company Bible for Entrepreneurs" but only for high-tech entrepreneurs. Even this author has recommended it.

This book does a terrific job of presenting some of the most important issues entrepreneurs face when embarking on new ventures, touching on topics such as the business plan, funding, team building, and cash flows. Using simple, yet stunningly accurate models of the entrepreneurial process, Steven Gold distills complex subjects into simple, practical, take-away messages. The classification of entrepreneurial personalities (professionals, pragmatists, and inventors) is something I think we can all relate to. I find the metaphor which compares building a new company to making "stone soup" equally compelling. There are countless books out there for budding entrepreneurs, but this one is no fluff. It gets right down to the nuts and bolts so you can concentrate on your business.

Why does the index have to be so lousy for law books?.......2006-02-28
First off, I have found the Gilbert commercial law school outlines to be the best. They also put out the best lectures on tape/CD.
However, the index is nearly as bad as Emanuel's. You can't just look up a subject by a word, such as "minors." For instance, if I can't remember whether or not a minor can be an agent, I can't just go to "M" in the index for "minor." I have to try and figure out which category or chapter the authors would have included that information in, and then hope they actually at least put "minor" in the index under the mystery section.
These guys expect us to remember that the issue regarding a minor is "capacity," then figure out that "capacity" would be under "creating agencies," for example--which of course is a huge pain when you're exhausted with studying law & your brain is too wiped out to have to go through all that just to look up whether or not a minor can become an agent...
That said, when you do finally find the section you're looking for....the outline is written pretty clearly & concisely without giving you all of the previous laws that are no longer relevent, like the Emanuel outlines do, which drives me nuts, too.
Before you begin with this outline, though, I suggest you buy yourself a bunch of tab post-its so you can find info easily again, or jot your own index inside the front cover as you go along. Better yet, keep a running outline/notes document on your computer so you can just do a search of your document to quickly find topics/rules without having to spend 1/2 hour trying to figure out where it was in the Gilbert outline again.
Best Gilberts I Own .......2005-11-07
The is the standard Gilberts outline book. A little thinner than most, but the content is good. If your professor is extremely socratic like mine was, this is the book for you. Even if the cases don't all match, the ideas are framed in easy to understand outline format. I know people who have kept this book and used it for bar review after graduation from law school!

This book had a lot of helpful facts about LLCs, but no guidance really in forming one, or whether you should form an LLC or corporation. The state-by-state appendix of laws and contact information hadn't been updated since 1997. The sample operating agreement was not on the disk, so you couldn't tailor it and use it for your company.

The book was decent, although a bit generic - no particular insights provided. The discussion of the terms of an LLC Operating Agreement could be a lot more detailed.

The book is poorly organized, out of date, and long winded. If you are a professor, look elsewhere. If you are a student who has to use this, try for used -- that way you won't feel so bad when you throw it away.
Not too bad for a casebook.......2005-07-30
The structure could be better, but I do like how the book explains the rationales and policies in the notes between cases; it makes the cases themselves much more cognizable if you read the notes after the cases first.

this book is maddening. it zigzags through material in an incomprehensible fashion. you have to work so hard to see which cases go together and how they go together. it certainly doesn't make it easy.
Hamilton has a Nutshell outline, which is okay. The Casenote Outline is quite good in my opinion.
Quite possibly the WORST textbook EVER.......2003-10-29
If this book shows up on the syllabus for your Corporations class, run. There has never been a worse textbook published in the history of academia. The typos are beyond unacceptable. The flow of material makes no sense, and there is no commentary from the authors in between sections to explain why the authors seem to think the topics should be discussed in that order. The cases are incredibly badly edited. One example, out of too many to even count, is in the first case on the law of corporate directors' duty of care. The court's holding about which defendants should be liable is left in, but none of the facts about any of those defendants are in the book at all. Definitions are non-existent, and in the rare places where the authors do try to actually explain concepts, the text is full of errors and the explanations are badly written. Robert Hamilton and Jonathan Macey (the authors) should be ashamed of themselves. You'd be better off typing "business" into Westlaw or Lexis and learning it yourself.
