This book provides vital information not usually covered in most self-publishing books and is a solid resource guide. Another confirmation that you need to read many books on your subject to familiarize yourself with the business. Areas such as how to protect your inventory by filing a UCC in the state the distributor is based, understanding the ins and outs of how distributors work, how to establish discounts and payment schedules that protect your financial structure, how to properly set-up your Accounts Receivable, Accounts Payable,taxes, LLC's, S Corporations,etc. Peter Hupalo's only weak area is his cover design. Anyone this intelligent should know their strengths and weakness's, and graphic design/layout is his. His book deserves better and would appeal to more buyers if it was redesigned.

I found the book focused more on C Corporations. A few of the chapters did focus on S Corps and it answered a lot of questions I had, and also raised more questions in the process. I found it did not go into real detail on S Corp deductions, or how to handle tax liability for an owner/employee.

This book is, to me, misnamed. It's really about how taxes are collected on various types of business structures. It discusses the various business organizations such as sole proprietorships, limited liability companies (LLCs), and corporations. Under corporations both C and S corporations are covered. (I can't think of a catchy title to say that, so I guess the book can stay named as it is.)

Most of the book is on the S corporation. This makes sense as most small business should probably be S corporations. The small business isn't going to attract large numbers of investors. By shifting the income of the business to an S you can often save several thousand dollars in taxes by shifting between salary and dividends or what the IRS calls earned income and passive income.

When I got the book I had a couple of questions in mind like "how much salary should I pay myself." These questions aren't answered in most "how to incorporate" type books. What I wanted was two answers, what does the law say, and what are the real rules. I got both answers quickly and easily.

For me, the information I wanted was covered in about 10% of the book, the rest of the material I either knew or didn't care about. That 10% that I needed saved me many, many times the cost of the book.

This is a great read for anybody considering incorporation or investing in an existing business. The author employs dozens of examples to illustrate the key decisions involved in choosing a business structure and how to manage it. Potential downside is given equal weight with potential savings, and often neglected issues affecting minority shareholders like "dilution" and "freeze out" are given a fair hearing.

The section on pre-tax vs. post tax purchases was particularly well illustrated. Find out why a $0.37 stamp may cost you $0.25 when you buy it through your business and $0.56 when you steal it from your personal stationary drawer. The author's conservative approach to accounting was refreshing in a world of books that profess to tell you how to beat the IRS. The strategies for maximizing shareholder income in this book are based on solid, legitimate planning.

The only fault I found with the book is that the number of examples led the author to be a little too imaginative with made-up business names. However, that wasn't enough to stop me from reading it from cover to cover in less than 24 hours.

This book is an excellent resource for any small business owner who must also deal with human resources issues.

From developing a personnel policy, to interviewing, hiring and retaining employees, to dealing with work/life balance issues, this book covers it all. Especially helpful are the real-life case studies in which actual business owners describe how the book assisted them in handling certain situations.

Another helpful feature is the glossary in the back of the book. It affords the opportunity for small business owners to quickly research a term instead of reading through the entire book to gather more information on a particular topic.

So, whether you need advice on employee benefits, privacy or communication, this book should prove a usual weapon in your arsenal of information.

Let's face it - who wants to spend time worrying about human resource issues when you have a business to run? The hiring, the firing, the laws . . . it gives me a headache just typing it! In our litigious society an employer has to think not just twice, but 3 or 4 times before making a statement, sending out a memo, or creating a new policy. This book goes a long way to taking the fear out of the personnel arena and giving the business owner the necessary tools to hire the best prospect and retain that employee.

Holihan begins with explaining what human resource management actually is and walks you through creating personnel policies and handbooks. Creating job descriptions, organizational charts, recruiting, interviewing, hiring, and training are all covered in detail with additional sources for more research provided. Then Holihan gets to the truly sticky issues: communicating with employees; evaluating and motivating performance; discrimination and fair treatment; and the ever-nasty discipline and termination procedures. Nobody wants to fire someone, it causes as much emotional stress for the owner as it does for the employee. Holihan takes the pain out of the act by stating in plain language what the costs are for NOT firing an employee for poor performance.

While those already familiar with some of the ins and outs of HR might find some sections of the book tedious or repetitive, for the newcomer the book will be invaluable. Holihan goes through every step of the HR process: from setting up the department to working with your new employee(s).

Holihan gives you the information you need and helps guide you through the necessary decisions to make sure that your company's HR department runs well. Should you, as owner, run the HR department? Holihan gives you the pros and cons of that scenario.

What about the interview process? Should you use psychological testing? What types of questions are too personal? Holihan guides you through the interview process, making sure you understand what might cause problems and what shouldn't.

How about after hiring your new employee? Holihan gives you tips to start off on a positive note, so that the new member of your team will gain morale and be as productive as possible.

I read through the book and learned a lot about various aspects of asset protection. This book is focused on small business, as it says, and it does an excellent job when discussing various 'tools'. There are many great asset protection 'tools' out there, but what works for you is all you need to care about, and this books does just that to small business owners.

The book starts with understanding your position to creditors (private and gov't). Then, it helps you get to know one tool after another in different situations you may be in, and each chapter is just in great details including pro and cons, typical scenarios, and Smart Plan (I love these).

Of course, no one is perfect. What I wish to see from this book, and many other books in this topic, is the overall picture of a business entity model/structure a person/business should have. For instance, it'll be much more helpful if the author include 2 or 3 smart business structures one should/could have and provide explanation of how each model works. The model should utilize, let's say, LLC, Living Trust, children's Trust... altogether to build a strong asset protection structure for a business and its business owners. It's true that the models may not totally work for each indiv., but it does give great understanding of how/why it's structured the way it is.

Overall, the book is great and highly recommended to general public readers who, like me, is not a lawyer or pro in this area. Further legal assitance is still recommended, but at least readers get good understanding when designing their own plan.

It's clear that the author has years of experience in protecting business owners' hard-earned assets. The author's asset protection strategies range from simple and inexpensive to complex and costly. This really makes the book suitable for managers of large corporations as well as small business owners.

At 500 pages, the book is detailed and comprehensive, but easy to read. Who would have known that in many states taking out a second mortgage on a house could make it exempt from attachment, while in other states, just the opposite approach, i.e., paying off the first mortgage, is what's required? Or that an IRA shields assets from the claims of creditors in many states and thus provides much more than a tax shelter, while in other states an ERISA-qualified 401(k) plan is a better choice? The author sorts all of this out in an authoritative but easy to read guide. Many readers will wish that they had this book years ago before financial problems developed. But, even there the author has strategies that can help avert a disaster.

The content, layout and design of this book make it not only indispensable, but actually fun to read. The tips, warnings and anectdotes are terrific. Attorney Misenti obviously has wide ranging experience in this field and his writing style is superb.

This is the ultimate guide to wealth building and wealth preservation. I've read other guides on forming an LLC or a corporation, but I never realized how woefully inadequate those other guides were before I purchased this book. As the author points out, many business owners form an LLC or a corporation without understanding how to strategically fund the entity, avoid exceptions to limited liability, or transfer assets to exempt categories, all of which are necessary if financial wealth is to be preserved in the face of lawsuits or bankruptcy. This guides teaches how to do all of that, and more.

The addition of actual cases, state asset exemption lists, and business forms for LLC's, makes this one of the best books of its kind that I've seen. Apparently this is one book in a series from the publisher that has received a lot of acclaim. ...

I've read that small business and entrepreneurs lead the country out of a recession. This guide could not be more timely. Don't start a business or expand your business without buying this book. This guide should be in the library of every business owner and well used. This really is the best, and most comprehensive asset protection guide on the market for small business owners, corporate mangers, and individuals interested in preserving their wealth.

I like the fact that the author proves that, when his asset protection strategies are put into place before financial problems arise, they are virtually beyond challenge, even to the extent of preserving an individual's entire wealth against the most significant of claims. I found it amazing that, with the right planning, millionaires can emerge from a major lawsuit or bankruptcy with no loss at all!     This book is a wonderful tool. Not just a reference, full of working knowledge a small business owner should have before launching a new business (very good for startups). Also, an excellent read if your business has grown to the point where you are considering leaving a regular paycheck to manage and grow your business. Detailed but not overwhelming, insightful without excepting a great deal of prior knowledge about business law. Just a great book.

    The Holmes F. Crouch books that I've read are very detailed and really look at things hard from a taxation and accounting basis. The book doesn't deal with "soft" issues like marketing your business and such...it deals with the hard financial stuff. If you have a head for this stuff, this book can be invalueable. It has the best information I've yet seen in helping a person try to come up with a REASONABLE price for their business...one that is based in solid financial reality rather than pie-in-the-sky pricing...which is what one often sees.

    Crouch does not write for entertainment. There aren't cute anecdotes or easy to digest case studies. But if you are NOT a dabbler and are serious about the subject, this book is really a must have.

    Starting, Running & Growing a Small Business is something that you probably shouldn't do. 85% (or something like that) of small businesses fail within the first five years. On the other hand, if you're like me, you really have no choice, this is just something you have to do. I started my first one while in college. I had no idea of the problems that I would face, and sure enough it failed within a few months.

    My second business lasted a little longer, my third for about ten years. Then it got cought in a classic inventory squeeze and boom it was gone too. When your business fails, you have to go to work for someone else. Hopefully you have learned something from the failure, and the next one works better. My current little business has paid me a living for some years, shows no signs of failing and is a hell of a lot more fun than having a boss.

    Why do I say all this, it's because if I had known what was printed in this book when I was first getting started I could have done a lot of things differently, a lot of things better, and understood a lot more about what I was doing in general.

    This book is basically a full course in running a small business. It's better than what you'd get in college (I know I have an MBA.) because colleges teach you how to be mid-level management in large companies and in a small business all the rules are really different.

    This is a wonderful book. Open it to just about any page and you'll find something that will help you. Note especially the opening paragraph, with everything you have here, you'll still need some good old-fashioned luck. But the rest of the book will teach you that you often make your own luck.

      I cant vouch for the book. But, what i can say is that Prepaid legal is on listed on the New York Stock Exchange (PPD). You have to be invited to be on the NYSE. Those of you that know what a company has to go thru to be on and stay on the NYSE knows that Prepaid legal is not a fraud.

Rather than reaching for the sleeping pills, stay up with this clear, brief and sympathetic introduction to bankruptcy laws and how they function. The authors, attorneys Wes and Wendell Schollander, walk the small-business owner through a typical bankruptcy, pointing out the traps to avoid. You do not need to read it from cover to cover since most chapters stand alone. Although that results in some repetition, we recommend this book both to small business owners in a financial jam or those who are worried they might be, and to anyone who wants to understand bankruptcy basics without paying for a single billable hour of attorney time.
